Thank you for choosing Justly ("Justly," "we," "us," or "our"). These Terms & Conditions (the "Terms") explain how you may access, download, or use our mobile application(s), website(s), and other coaching or wellness services (collectively, the "Services"). By using our Services, you agree to these Terms. If you do not agree, do not use our Services.
1. Overview
Justly is a mobile and web-based platform offering tools for planning, acting on, and reflecting upon personal goals and habits. We combine habit tracking, an AI-driven life coach, goal planning, note-taking, and other features to help you maintain your mental and physical well-being.
Important: Justly is not a licensed medical, mental health, or clinical care provider. Our Services do not replace professional medical advice or treatment. You assume all risks in choosing to use our Services. For any health concerns, please consult a qualified medical professional.
2. Eligibility
- Age Requirement: You must be at least 13 years old to use our Services. If you are between 13 and 18, your parent or guardian must consent to these Terms on your behalf.
- Legal Capacity: By using the Services, you confirm that you have the legal capacity to enter into a binding agreement with us.
- Account Registration: You may need to create an account and provide complete, accurate information. You are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately if you suspect unauthorized use of your account.
3. Subscriptions and Payments
- Subscription Plans: Certain features require a paid subscription ("Subscription"), which may include a free trial or promotional period at our discretion. Details are provided during the sign-up process.
- Billing Cycle: Your subscription renews automatically for the same term unless canceled under these Terms. By purchasing a Subscription, you authorize us (or our designated payment processor) to charge the applicable fee to your payment method on a recurring basis.
- Cancellation and Refunds:
- Free Trial: You can cancel any time before the trial ends to avoid charges.
- Paid Subscription: You can cancel at least 24 hours before your next billing cycle to avoid additional charges. Payments already processed are usually non-refundable.
- Changes to Fees: Justly may update subscription fees. We will provide reasonable advance notice. Continued use of the Service signifies acceptance of new fees. If you do not agree, cancel before the updated fees go into effect.
4. Using Justly
- License Grant: We grant you a personal, non-exclusive, non-transferable, revocable license to access and use our Services subject to these Terms.
- Restrictions: You agree not to reverse-engineer, modify, sublicense, resell, or exploit our Services in any way not expressly permitted.
- User Content: You may upload, post, or otherwise share text, images, notes, checklists, or other content ("User Content"). You retain ownership of User Content but grant Justly a worldwide, non-exclusive, royalty-free license to use it for the legitimate business needs of providing and improving the Services.
- Prohibited Conduct: You will not use the Services to:
- Violate any applicable laws or regulations,
- Infringe upon the rights of others,
- Transmit harmful or illegal materials (e.g., viruses, malicious code),
- Submit false or misleading information, or
- Harass, threaten, or harm others.
5. AI Life Coach Disclaimer
Our AI features (sometimes referred to as the "Justly AI Life Coach") provide general educational or motivational feedback and do not constitute professional medical, psychological, or mental health advice. AI responses may be limited, incomplete, or occasionally inaccurate. By using these features, you accept full responsibility for verifying any information that affects your personal well-being.
6. Intellectual Property Rights
- Ownership: Justly retains all intellectual property rights to the Services, including code, designs, trademarks, logos, text, and graphics, except for User Content.
- Feedback: Any suggestions, ideas, or feedback you provide may be used by Justly without obligation to you.
- Third-Party Materials: The Services may use or link to third-party content or services. We do not endorse nor control third-party content. Use third-party resources at your own risk.
7. Disclaimers
- No Medical Advice: Justly is not a healthcare provider, and our Services do not replace professional medical, mental health, or legal advice. Always seek qualified professional guidance for such matters.
- Service "As Is": We provide the Services "as is" and "as available", without warranties of any kind—express, implied, or otherwise (e.g., fitness for a particular purpose).
- No Guarantee of Results: Progress depends on your efforts and consistency. We do not promise any specific outcome or guarantee that your goals or objectives will be achieved.
8. Limitation of Liability
To the maximum extent permitted by law, Justly and its affiliates will not be liable for indirect, special, incidental, consequential, or punitive damages—this includes lost profits or data. In any event, our total liability under these Terms, from all causes of action, will not exceed the total fees you have paid to Justly in the 12 months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability for death, personal injury, or other losses if they cannot be lawfully excluded or limited under applicable law.
9. Termination
- Termination by You: You can stop using the Services and/or cancel your Subscription at any time. Cancelation will be effective as soon as you follow the specified process (e.g., through account settings).
- Termination by Us: We reserve the right to suspend or terminate your access if you violate these Terms or if required by law.
- Effects of Termination: Upon termination:
- You lose the right to use the Services, including any subscription access.
- We may delete your User Content, unless otherwise required by law.
- Any payment obligations accrued prior to termination remain in effect.
10. Personal Data & Privacy
Your privacy is important to us. Please read our separate [Privacy Policy] for details on how we handle your personal data. By using our Services, you agree to our processing of your information as described in that policy.
11. Modifications to These Terms
Justly may update or revise these Terms to reflect changes in the law, our Services, or for security reasons. We will notify you via email or through an in-app notice before such changes take effect. By continuing to use our Services after updated Terms become effective, you accept those changes. If you do not agree, you must cease using the Services immediately.
12. Governing Law & Dispute Resolution
- Governing Law: These Terms are governed by the laws of Gujarat, India, without regard to conflict-of-law principles.
- Dispute Resolution: Any disputes arising out of or related to these Terms will be resolved exclusively in the competent courts of Gujarat, India. Where required by law, we will comply with local consumer protection or dispute resolution provisions.
13. Additional Provisions
- Severability: If any provision of these Terms is ruled unlawful, void, or unenforceable, the rest of the provisions remain valid and enforceable.
- No Waiver: Failure or delay by Justly to enforce any provision does not constitute a waiver of our rights.
- Entire Agreement: These Terms (along with our Privacy Policy) form the entire agreement and supersede any prior agreements on the same subject matter.
- Assignment: You may not transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer these Terms at our discretion.
